FAQ

No. There are no exclusive territories in our dealer program.

We require our dealers that will be installing the Track Light system to either be an electrician or have an electrician on staff. We do not require you to be an electrician to sell and install any of our other products.

As long as you meet the requirements to be an Authorized Dealer and are willing to purchase the minimum inventory stock which is around $10-15k then you simply need to complete one job, have it approved and then you will be authorized to sell and install to the public.

Yes. Our dealers must carry a minimum of 2 million liability insurance that must cover any damages that may occur while installing our products.

Yes. All of our products carry an ETL certification that approves them to be installed in both Canada and the United States. 

Yes. All dealers have the opportunity to earn a place on our website. After the dealer has met specific performance targets, they will be displayed on our website for customers to choose based on a simple ranking system.

Every new dealer will get access to our online portal which includes access to training videos and marketing resources along with our online store where they will purchase products. Every new dealer is required to complete one job and have it approved by a Gemstone Lights rep before being authorized to sell and install it to the public. This same Gemstone Lights rep will work very closely with the dealer on the first job and any others that come down the pipe for the dealer. The dealer will also get support from a marketing coordinator to provide effective strategies on promoting Gemstone Lights across all social media and online platforms. 

Yes. We do not charge anyone to become an authorized dealer. However, we require our new dealers to purchase a minimum amount of inventory of roughly $10-15k and the material associated with the first install. This inventory includes lights, controllers, power kits, extensions, wire and a few other accessories that prepare you to be ready to install your first 5-6 average-sized homes. It does not include track.

We provide a 5-year product warranty on all our products. If a dealer has a defective product, a warranty return form is completed and the device is sent back to our facility. Once we have received the product we test it and confirm the deficiency. Once we determine that the device is defective, we send the dealer a new replacement of that device.

  • GEMSTONE LIGHTS AUTHORIZED DEALER AGREEMENT

    DEFINITIONS:

    • "Agreement" means this agreement in its entirety
    • “Seller” is the manufacturer of Products and is known as Gemstone Lights
    • “Authorized Dealer” means the signed individual or organization authorized to purchase, sell and install Products
    • “Customers” means any individual or organization who purchase and receive Products from the Authorized Dealer
    • "Products" means all products listed on the Gemstone Lights store
    • “Trade-marks” means all rights, title and interests arising under any Requirement of Law in or relating to trademarks, trade names, corporate names, company names, business names, trade styles, service marks, logos and other source or business identifiers and, in each case, all goodwill associated therewith

    Terms and Conditions:

    1. Initial Requirements: The Authorized Dealer agrees to purchase the minimum inventory requirement as agreed upon with the Seller, to successfully complete the Gemstone Lights learning management course and complete one install within 3 months of applying. These requirements must be met before the Authorized Dealer is permitted to sell and install Products to the public. This first installation must be reviewed and passed by a Seller’s representative.. The Authorized Dealer will have the opportunity to attempt up to 5 times to pass the review.
    2. Duties of Authorized Dealer: The Authorized Dealer will, at its own expense make its best efforts to advertise and promote the sale of the Products. The Authorized Dealer will satisfy all legal requirements for the delivery and, if applicable, importation, sale and installation of the Products. The Authorized Dealer must sell the Products using the Seller’s brand name & Trade-marks and is not permitted to rebrand any Products supplied by the Seller. The Authorized Dealer will not make any false or misleading representations or warranties to any Customers regarding the Seller or the Products and will not engage in any unfair, competitive, misleading or deceptive practices regarding the Seller, the Seller’s Trade-marks or the Products. The Authorized Dealer is not permitted to use the Seller's logo, icon or make any representation to the public indicating that they are part of the Seller’s organization. The Authorized Dealer Logo must be used whenever promoting Products. This includes all online advertising, pamphlets, brochures, banners and business cards. The Authorized Dealer is fully responsible for the complete satisfaction of its Customers and will make best efforts to resolve any issues as they arise and maintain a positive image for the Seller while upholding the highest standards of quality installations and customer service. The Authorized Dealer agrees that they must purchase Gemstone Lights Tracks when installing the Track System and is not permitted to build their own track. The Authorized Dealer is solely responsible to comply with and satisfy all local legal requirements and building codes when selling and installing Products and is liable for any local infractions and penalties associated with non-compliance. The Authorized Dealer is not authorized to sell directly to Customers for the purpose of self installation and must complete both the sale and installation of all Products. The Authorized Dealer must honor the 5 year Products warranty with their Customers along with some type of labor warranty of their choice to be managed by the dealer directly. Authorized Dealers are expected to conduct themselves with professionalism and work alongside neighboring dealers in a positive manner.
    3. Liability: This Agreement does not deem the Authorized Dealer an extension of the Seller’s business. The Authorized Dealer will operate its own legally owned and operated entity. The Seller is relieved of all liability associated with the Authorized Dealer’s business. The Authorized Dealer must carry Liability insurance and accepts all liability associated with the sale, install and service of all Products.
    4. Marketing & Advertising: The Authorized Dealer’s marketing material must clearly state that the Authorized Dealer is “an Authorized Dealer of Gemstone Lights'' and in no way can it be construed that the Authorized Dealer is marketing or representing itself as the manufacturer of the Gemstone Lights. To ensure quality and continuity of the Seller’s brand, the Seller has prepared a Branding Guideline document. This guideline document will be made available to the Authorized Dealer during the onboarding process. The Authorized Dealer agrees to comply with it’s requirements in its entirety. All designs for Marketing material for trade shows including, but not limited to, banners, brochures and signs for the first time must receive the approval of the Seller before sending to local print.
    5. Appointment: The Seller appoints the Authorized Dealer to sell and install Products to Customers and affiliates within a reasonable service area which will be agreed upon with the Seller directly. The Authorized Dealer is not permitted to extend this appointment to any other individual or company without prior written consent by the Seller. The Authorized Dealer is not permitted to set up other dealers outside of their service areas for the purpose of redistributing Products.
    6. Option of the Seller to Terminate: The Seller reserves the right to refuse sale of Products to the Authorized Dealer at any time.
    7. Consequences of Termination: The Authorized Dealer will cease using the Seller Trade-marks and will immediately stop selling and installing Products. The Authorized Dealer will also refrain from holding and advertising itself as an Authorized Dealer of the Seller and will provide the Seller with the contact information of every customer that received Products from the Authorized Dealer.
    8. Product Prices: Prices for Product will be found on the Seller’s store as noted above. All prices quoted are FOB shipping. The Authorized Dealer will pay all shipping costs, applicable taxes, or any other costs associated with the shipping of the Products, including but not limited to customs clearance if required.
    9. Terms of Payment: The Authorized Dealer agrees to pay for all Products at the time or order is placed on the store mentioned above. Products will not be shipped until the Authorized Dealer has paid in full for the associated Products. The Authorized Dealer will not be permitted to carry debt with Seller for any given order or other purchase.
    10. Warranty: The Seller warrants, for a period of five (5) years from the date the Authorized Dealer orders the Products, that the Products will not have any material defects in workmanship, construction or materials. If any material nonconformity or material defect of any Products become apparent during that period, the Authorized Dealer may return the defective Products to the Seller at the Authorized Dealer's own cost and expense. If the Authorized Dealer returns any defective Products to the Seller, the sole obligation of the Seller will be, at its own expense and at its option, to either repair or replace those Products or their components. When any item of the Products or component of the Products is repaired or replaced under this warranty, the Seller warrants that item or component for a further period of five (5) years from the date of repair or replacement on the same terms that apply to originally delivered Products.
    11. Title and Risk: Title to the Products, and all risks related to the Products, pass to the Authorized Dealer at the time of transfer to the Authorized Dealer's designated carrier at the shipping point. The Seller will remain the rightful owner of all Products sold to the Authorized Dealer if the purchase price has not been paid in full. The Seller will not be liable for any injury, loss or damage, direct or consequential arising out of the use or installation of the Products.
    12. Intellectual Property: The Seller grants the Authorized Dealer the right to use the Trade-marks only as authorized by the Seller in connection with the sale of the Products. The Authorized Dealer will execute all applications, agreements or other instruments that may be reasonably requested by the Seller for the purpose of protecting the interests and rights of the Seller in the Trade-marks. Nothing in this Agreement will be deemed in any way to constitute a transfer or assignment of the Trade-marks by the Seller to the Authorized Dealer, or to give the Authorized Dealer any right, title or interest in or to the Trade-marks, and the Authorized Dealer acknowledges that the Trade-marks and all goodwill associated with the Trade-marks are and will remain the exclusive property of the Seller.
    13. Confidentiality: As used in this Agreement, "Confidential Information" refers to any information which has commercial value and is either (i) technical information, including patent, copyright, trade secret, and other proprietary information, techniques, sketches, drawings, models, inventions, know-how, processes, apparatus, equipment, algorithms, software programs, software source documents, and formulae related to the current, future and proposed Products and services of Company, or (ii) non-technical information relating to Products, including without limitation pricing, margins, merchandising plans and strategies, finances, financial and accounting data and information, suppliers, customers, customer lists, purchasing data, sales and marketing plans, future business plans and any other information which is proprietary and confidential to Seller. Authorized Dealer will maintain in confidence and will not disclose, disseminate or use any Confidential Information belonging to the Seller, whether or not in written form. Authorized Dealer agrees that Authorized Dealer shall treat all Confidential Information of the Seller with at least the same degree of care as Authorized Dealer accords its own confidential information. Authorized Dealer further represents that Authorized Dealer exercises at least reasonable care to protect its own confidential information. Authorized Dealer agrees that Authorized Dealer shall disclose Confidential Information only to those of its employees who need to know such information, and is required to take necessary steps to ensure all employees keep information confidential. Authorized Dealer assumes all liability for any breach of confidential information by both Authorized Dealer and its employees. All business partners, investors and other associates of the Authorized Dealer are required to comply with this, and all, sections of the Agreement. This Agreement shall govern all communications between the parties. Recipient understands that its obligations under Paragraph 12 shall survive the termination of any other relationship between the parties. Upon termination of any relationship between the parties, Recipient will promptly deliver to Company, without retaining any copies, all documents and other materials furnished to Recipient by Company. This Agreement shall be governed in all respects by the laws in the province or state where the Authorized Dealer resides. This Agreement constitutes the entire agreement with respect to the Confidential Information disclosed herein and supersedes all prior or contemporaneous oral or written agreements concerning such Confidential Information. This Agreement may only be changed by mutual agreement of authorized representatives of the parties in writing.
